These Terms & Conditions (“Terms”) govern your access to and use of the vanillahr.com website and related services (the “Site”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Agreement to Terms
These Terms constitute a legally binding agreement between you (an individual or entity) and VanillaHR SAS (“Company”, “we”, “us”, or “our”), regarding your use of the Site and any linked media, mobile site or app. By using the Site, you confirm you have read, understood, and agree to be bound by these Terms. If you do not agree, you are prohibited from using the Site.
We may update these Terms periodically. Changes will be indicated by the “Last updated” date above. Your continued use of the Site after any change means you accept the updated Terms. Additional terms posted on specific pages or services are incorporated by reference.
The Site is intended for users aged 18+. If you access the Site from outside France, you are responsible for compliance with local laws when applicable. The Site is not designed for industry-specific regulations (e.g., HIPAA, FISMA, GLBA); do not use the Site if such laws apply to your use.
2. Intellectual Property Rights

6. User Generated Contributions
The Site may allow you to submit content such as text, images, audio, video, feedback, or other materials (“Contributions”). Contributions may be visible to others. You are responsible for your Contributions and must have all rights necessary to share them.
You represent that your Contributions:
- Do not infringe third-party rights (copyright, trademark, privacy, moral rights, etc.);
- Are accurate and not misleading; do not contain unlawful, abusive, or discriminatory content;
- Do not violate laws protecting minors or any applicable law;
- Comply with these Terms and our policies.
7. Contribution License
As permitted by law and our Privacy Policy, you grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute your Contributions on and in connection with the Site and services, solely to operate, improve, and promote the Site. You retain ownership of your Contributions.
If you provide feedback or suggestions, you agree we may use and share them without compensation.
8. Guidelines for Reviews
If the Site allows reviews or ratings, you should have firsthand experience, avoid offensive or discriminatory language, not post false or misleading statements, not reference illegal activity, and not coordinate review campaigns. We may moderate, remove, or decline reviews at our discretion.

14. Governing Law
These Terms are governed by the laws of France. If you are an EU consumer, you also benefit from mandatory protections of your country of residence. The parties submit to the non-exclusive jurisdiction of the courts of Bordeaux, France.

16. Corrections
The Site may contain typographical errors or inaccuracies. We may correct or update information without prior notice.
17. Disclaimer
THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SITE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.
18. Limitations of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE WILL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; THESE MAY NOT APPLY TO YOU.
19. Indemnification
You agree to defend, indemnify, and hold harmless the Company and its affiliates, officers, agents, partners, and employees from claims arising from (i) your use of the Site, (ii) your breach of these Terms, (iii) your violation of third-party rights, or (iv) harmful acts toward other users. We may assume exclusive defense and you will cooperate at your expense.
20. User Data
We may maintain data you transmit to operate the Site. You are responsible for backing up your data. We are not liable for any loss or corruption of data in connection with the Site.
21. Electronic Communications, Transactions, and Signatures
Visiting the Site, emailing us, and completing online forms constitute electronic communications. You consent to receive communications electronically and agree that electronic signatures and records have the same legal effect as paper versions, to the extent permitted by law.

23. Miscellaneous

We may assign our rights and obligations at any time. No partnership, joint venture, or agency relationship is created by your use of the Site.
